JSC O‘zqishloqelektrqurilish announces that an extraordinary General Meeting of the company’s shareholders will be held on 7 March 2025.

  1. On approving the numerical and personal composition of the Counting Commission for an indefinite term.

  2. On entering into a major transaction to transfer buildings and structures as a contribution to the charter fund of O‘zqishloqelektrqurilish JSC.

  3. On determining the maximum amount of authorised shares of O‘zqishloqelektrqurilish JSC.

  4. On approving the Charter of O‘zqishloqelektrqurilish JSC in a new version.

On the right of shareholders to demand that the company buy back their shares, and on the price and procedure of the buy-back:

Under Article 40 of the Law of the Republic of Uzbekistan “On joint-stock companies and protection of shareholders’ rights”, shareholders holding voting shares are entitled to demand that the company buy back all or part of their shares if they voted against, or did not take part in the voting for valid reasons, when the General Meeting of shareholders adopted a resolution on the second item of the agenda — “On entering into a major transaction to transfer buildings and structures as a contribution to the charter fund of O‘zqishloqelektrqurilish JSC” (a major transaction involving the acquisition of property) — voting on which, under the above Law, gives rise to the right to demand a buy-back of shares.

The list of shareholders entitled to demand that the company buy back their shares is compiled on the basis of the register of shareholders entitled to take part in the extraordinary General Meeting as at 3 March 2025.

A shareholder’s written demand for the buy-back of their shares is sent to the company stating the shareholder’s place of residence (location) and the number of shares to be bought back. Written demands must be submitted to the company no later than thirty days from the date on which the extraordinary General Meeting adopted the relevant resolution. After that period, the company must buy back the shares from the shareholders who submitted demands within ten days.

The buy-back is carried out at the market value (stock exchange quotation) of the shares, amounting to 26,520 soums as at 11 February 2025. The total amount of funds allocated by the company to the buy-back may not exceed ten per cent of the value of the company’s net assets as at the date of the resolution that gave rise to the shareholders’ right to demand the buy-back. If the total number of shares for which buy-back demands have been submitted exceeds the number of shares the company may buy back subject to the above limit, the shares are bought back from shareholders in proportion to the demands submitted.

Procedure for participation and voting at the extraordinary General Meeting of shareholders:

The right to take part in the extraordinary General Meeting is exercised by the shareholder in person or through a representative.

A shareholder may at any time replace their representative at the extraordinary General Meeting or take part in it in person.

A shareholder’s representative at the extraordinary General Meeting acts on the basis of a power of attorney drawn up in writing. The power of attorney for voting must contain details of the principal and the representative (name or title, place of residence or location, passport details or ID card details). A power of attorney for voting on behalf of an individual must be notarised. A power of attorney for voting on behalf of a legal entity is issued under the signature of its head and certified by the seal of that legal entity (if a seal is used).

Voting at the extraordinary General Meeting is carried out on the principle of “one voting share of the company — one vote”.

Voting at the extraordinary General Meeting on the items of the agenda is carried out by voting ballots.

The register of shareholders for notification of the extraordinary General Meeting is compiled as at 11 February 2025.

The register of shareholders for holding the extraordinary General Meeting is compiled as at 3 March 2025.
